The agreement between you and Torvana.
Last updated September 8, 2026.
These terms are an agreement between Torvana (Torvana, we, us) and the auto repair shop, or group of shops, that uses the service (you). The service is the Torvana web application at app.torvana.ai and everything we provide with it, including Torvana Coach and the Monday review email. Users are the people you invite to use the service.
By signing an order form, creating an account, connecting a Tekmetric account, or using the service, you agree to these terms. The person who does this confirms that they have the authority to bind the shop. If you do not have that authority, do not use the service. Your order form, if you have one, is part of this agreement and wins if it disagrees with these terms.
Torvana is sold by demo. An owner on your account controls billing, the Tekmetric connection, and who has access.
Owners and managers can invite people to the service. Each user gets their own login and must keep it private. You are responsible for everything done through your account and by your users, whether or not you approved it. Tell us right away if a login is compromised.
Owners and managers see the whole shop. Advisors and technicians see only their own numbers. Coaching records and documents are for owners and managers only. You decide who gets which role, and you must deactivate the login of anyone who leaves your shop.
Torvana is profit and performance management software for auto repair shops. When you connect your Tekmetric account, Torvana reads your repair orders, jobs, and the people attached to them. It never writes anything back to Tekmetric. From that data it computes metrics for the shop, each advisor, and each technician. It suggests goals, ranks coaching opportunities, drafts coaching documents, records coaching, emails a Monday review, and answers questions in Torvana Coach.
We may add, change, or remove features. If we remove something important, we will tell you first when we can. We may suspend the service briefly to fix a security problem or to protect other customers.
Your data is the Tekmetric data we read for you, your users' account details, the goals you set, the coaching you record, and the documents and answers Torvana produces from your data. Your data is yours. You give us a limited licence to store, copy, and process it, and to send the parts we need to our service providers, so that we can provide, secure, support, and improve the service for you.
Torvana creates a performance record for every advisor and technician in your Tekmetric account, whether or not that person ever logs in. You confirm that you have the authority to connect your shop's Tekmetric account, to share its data with us, and to have your team's performance data processed in the service. You will give your team any notice the law requires.
We may use data that is combined across shops and stripped of anything that identifies your shop or your people, to improve the service.
Each shop's data is isolated at the database level. Our Privacy Policy explains how we handle personal data, and it is part of this agreement.
Use the service for your own shop's business. Do not:
Tekmetric is your shop management system and your own account. Torvana is not affiliated with Tekmetric, and Tekmetric's own terms govern your use of it. We are not responsible for changes Tekmetric makes to its data, its interface, or your access. You can ask us to stop reading your Tekmetric data at any time; the service then stops updating.
Torvana Coach and other AI features use models from third-party AI providers, currently OpenAI and Anthropic. We send them only the numbers and context needed to produce an answer or a document. Our Privacy Policy describes our service providers.
Torvana's metrics, goal suggestions, rankings, explanations, coaching documents, and Torvana Coach answers (outputs) come from software, including AI models. They are for your information. They can be wrong or incomplete, so check them before relying on them.
Outputs are not financial, accounting, tax, legal, employment, or human resources advice. Your owners and managers make every decision about your business and your people. A coaching document is a draft for a manager to review, change, and decide whether to use. You are responsible for every decision about an employee, and for following employment law when you make it. When Torvana shows how a number moved after coaching, that is a correlation, not proof that the coaching caused the change.
AI features run under usage limits and depend on our providers, so they may be slow or unavailable at times. When that happens, the app says so and your numbers stay visible.
The service is a subscription, priced per shop. A group pays for each of its shops. Your fees are set in your order form or shown to you when your subscription starts. We bill in advance, monthly or annually, according to your order form. Fees exclude taxes; you pay any that apply, other than taxes on our income. You authorize us and our payment processor to charge your payment method for every fee due, including renewals.
If we offer a free trial, it needs a valid payment method. Your paid subscription starts, and we charge the first fee, when the trial ends, unless you cancel first.
Fees are non-refundable, except where these terms or the law say otherwise. We may change our prices with at least 30 days' notice. The new price applies from your next renewal after that notice. If a payment is late, we will tell you, and if it stays unpaid 10 days after that notice we may suspend the service until you pay.
This agreement lasts as long as you have a subscription or use the service. Each subscription period renews for the same length unless you cancel before it ends. You can cancel at any time by emailing support@torvana.ai. Your access continues to the end of the period you have paid for. We do not refund the rest of that period.
Either of us can end this agreement if the other breaks it in a serious way and does not fix the problem within 30 days of being told. We may end it, or suspend access, right away if you break the acceptable use rules, if your use threatens the security of the service or other customers, or if you do not pay after notice. We may also end it for any other reason on 30 days' notice, refunding fees paid for the time after the end date.
When the agreement ends, all access stops and we stop reading your Tekmetric data. For 30 days after that, you can ask us at support@torvana.ai for a copy of your data in a common electronic format. After that, we delete or de-identify your data within a reasonable time, except copies in routine backups, cleared on our normal schedule, and records we must keep by law.
Fees you owe, confidentiality, our property, the disclaimer, liability limits, indemnities, governing law, and this section survive.
Confidential information is non-public information one of us learns about the other. Your data is yours; the non-public parts of the service, our pricing, and our security details are ours. Each of us will protect the other's confidential information with reasonable care, use it only for this agreement, and share it only with people and service providers who need it and are bound to keep it confidential. This does not cover information that is public, that the receiver already had, or that it developed on its own. These duties last for three years after the agreement ends, and for trade secrets as long as they stay secret.
We own the service: the software, metrics, rules, designs, help content, and every improvement to them. You get a limited, non-exclusive, non-transferable right to use the service for your business while this agreement lasts. The Torvana name and logo are our trademarks. If you send us ideas, suggestions, or feedback, we may use them freely, without payment or credit. That does not include your data.
We will provide the service with reasonable skill and care, and use reasonable efforts to keep it available and to keep your data safe. If it falls short, tell us and we will use reasonable efforts to fix it. That is your only remedy for a failure of this commitment.
Beyond that commitment, the service and its outputs are provided "as is" and "as available". To the fullest extent the law allows, we make no other promises, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not promise that the service will be error-free or uninterrupted, that outputs will be accurate, or that using the service will improve your results. Data from Tekmetric is only as accurate as what your shop entered there.
To the fullest extent the law allows, neither of us is liable to the other for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business, even if we were told they were possible. To the fullest extent the law allows, our total liability under this agreement is limited to the fees you paid us in the 12 months before the event that gave rise to the claim. These limits do not apply to a party's indemnity duties, to a breach of confidentiality, to your duty to pay fees, or to fraud or wilful misconduct.
You will defend us against any third-party claim that arises from your data, from your lack of authority to share it or to connect your Tekmetric account, from your use of the service in breach of this agreement or the law, or from a decision you make about an employee, and you will pay any damages, costs, and reasonable legal fees awarded in that claim.
We will defend you against any third-party claim that the service, used as this agreement allows, infringes that party's patent, copyright, or trademark, or misuses its trade secret, and we will pay any damages, costs, and reasonable legal fees awarded. This does not cover claims that arise from your data, from Tekmetric or another third-party service, from something you changed, or from your use in breach of this agreement. For such a claim we may fix the service, get a licence for you, or end this agreement and refund prepaid fees for the unused period.
The party seeking defence must tell the other promptly, let it control the defence and settlement, and give reasonable help. No settlement may admit fault for the other party without its consent.
This agreement is governed by the laws of the State of North Carolina, USA, without regard to its conflict-of-law rules. Any dispute connected with this agreement or the service will be brought in the state or federal courts in New Hanover County, North Carolina, and each of us agrees to their jurisdiction.
We may update these terms. If a change is material, we will tell you at least 30 days before it takes effect, by email to an owner on your account or by a notice in the service. The new terms apply from that date or from your next renewal, whichever is later. If you do not agree, cancel before then. Using the service after that date means you accept the new terms.
This agreement, your order form, and the Privacy Policy are the whole agreement between us about the service and replace any earlier discussions. You may not transfer this agreement without our written consent. We may transfer it to a successor of our business. Neither of us is liable for a failure caused by something outside its reasonable control, except a failure to pay. If part of this agreement is unenforceable, the rest still applies. Not enforcing a term is not a waiver. Notices go to the owner email on your account, or to us at support@torvana.ai.
